These Terms of Use ("Terms") govern your access to and use of the AI Dispatcher website, applications, APIs, browser extension, and related services (collectively, the "Services"), operated by AIDispatcher LLC("AI Dispatcher", "we", "our", or "us").
By creating an account, accessing, or using the Services, you agree to be legally bound by these Terms. If you do not agree to these Terms, you must not use the Services.
1. Eligibility
The Services are intended for business users and individuals who are at least 18 years old and legally capable of entering into binding agreements. By using AI Dispatcher, you represent and warrant that you satisfy these requirements.
The Services and their features are intended for use in the United States freight and logistics market (USA). You acknowledge that the functionality is designed for U.S. market workflows, practices, and applicable U.S. requirements, and you agree not to rely on the Services as being offered or supported for other geographic markets unless we expressly state otherwise in writing.
2. Your Account
Access to certain features requires creating an account using Google OAuth or another supported authentication provider.
You are responsible for maintaining the security of your account and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other security breach.
3. Description of the Services
3.1 What AI Dispatcher Is
AI Dispatcher is a communication-automation tool for truck dispatchers. It acts on behalf of, and at the direction of, the dispatcher or motor carrier that is our customer, and it automates a single, narrow part of the dispatcher's own work: outbound telephone calls and related contact with brokers regarding a specific load that the dispatcher has already identified and selected on their own.
Depending on your subscription and enabled features, the Services may include:
- Placing outbound calls to a broker contact designated by you, in connection with a specific load you have selected.
- Conducting the call using an AI voice agent that speaks on behalf of your company, asks your questions, and discusses load details and rate.
- Recording and transcribing the call, where permitted by applicable law, and returning the outcome of the call to you.
- Presenting the result of the call (for example, availability, quoted rate, broker requirements, next steps) in your own workspace.
- Managing your call queue, call scripts, phone numbers, and voice configuration.
- Optional AI assistance in reading documents you upload yourself, such as rate confirmations, solely to support the same call workflow.
3.2 What AI Dispatcher Is Not
To avoid any ambiguity about the scope of the Services, AI Dispatcher expressly does not provide, and is not intended to become, any of the following:
- No load board, marketplace, or load-comparison product.We do not operate a load board, a freight marketplace, a load search engine, or any feature that lets you browse, rank, score, or compare loads against each other or across sources.
- No aggregation of loads. We do not aggregate, index, consolidate, or maintain a searchable or historical collection of loads, whether from one source or from multiple sources, and we do not combine load data belonging to different customers.
- No freight matching. We do not match loads to trucks or carriers, and we do not recommend which load you should take.
- No load search or posting on your behalf. We do not run searches on any load board, do not post loads or trucks, and do not monitor or poll any load board for new or changed listings.
- No rate index or market analytics. We do not index, benchmark, project, publish, or resell lane rates or market rate data, and we do not build analytical datasets out of the information processed for your calls.
- No freight visibility, tracking, or factoring. We do not provide shipment visibility or tracking solutions, and we do not provide accounts receivable factoring.
- Not a freight intermediary. AI Dispatcher is software acting for you. We are not a broker, a carrier, a shipper, or a party to any freight transaction, we take no position in any load, and we do not engage in double brokering. Every commercial decision, including whether to accept a load or a rate, remains yours.
- No redistribution. We do not resell, republish, redistribute, disclose, or otherwise make available to any other customer or third party the load or broker information you submit. Your data stays in your own workspace.
4. Browser Extension: Manual Transfer Only
We make available an optional browser extension (the "Extension"). The sole purpose of the Extension is to transfer information that you, a human user, have already selected or copied yourself into the Services, so that a call can be placed about that specific load.
The Extension:
- acts only in response to an explicit action you take in your own browser session, for a load you have already opened or selected yourself;
- performs no searches, queries, crawling, indexing, spidering, scraping, polling, monitoring, or bulk collection on any website or platform;
- does not operate in the background, on a schedule, or without a user-initiated action;
- does not navigate, click, submit forms, or otherwise drive any third-party website on your behalf;
- does not read, capture, transmit, or store any username, password, session token, or other credential of any third-party platform; and
- transmits only the fields needed to place and conduct the call for the load you selected.
You may use the Services without the Extension by entering load information manually. Use of the Extension is at your election and subject to Section 5.
5. Third-Party Platforms, Credentials, and Your Authorizations
5.1 We Never Hold Load Board Credentials
AI Dispatcher does not request, receive, store, hold, or use the usernames, passwords, API keys, session tokens, or any other credentials of any load board, dispatch platform, or transportation management system. We never log in to any such platform, on your behalf or otherwise, and our servers never authenticate to any load board. You work in your own account, in your own browser session, under your own login.
You must not share your load board credentials with us, with our support staff, or through the Services. If you nevertheless transmit such credentials, we may delete them without notice, and you remain solely responsible for the consequences.
5.2 Your Responsibility for Third-Party Terms
Load boards, dispatch platforms, and other data sources are governed by their own agreements, acceptable use policies, and usage limits. You represent and warrant that:
- you are an authorized user, in your own name, of every platform from which you obtain information that you submit to the Services;
- you have all rights, authority, permissions, and, where required, prior written approvals necessary to submit that information to the Services and to have us use it for the call workflow described in these Terms;
- your use of the Services does not violate any agreement between you and any such platform, including any provision concerning automation, automated access, browser extensions, data extraction, shared logins, redistribution, artificial intelligence, or competing products; and
- you do not share a single third-party platform login among multiple people, and you do not use the Services to exceed any usage limit or quota imposed by such platform.
We do not independently verify these rights. Compliance with third-party platform terms is your responsibility. If a platform notifies you or us that a particular use is not permitted, you must stop that use immediately, and we may suspend the affected functionality for your account.
6. Purpose Limitation, Minimization, and Retention
Data is taken for the call, and only for the call. Load, broker, and contact information that reaches the Services is collected, transmitted, and processed for the single purpose of preparing, placing, and completing the specific call you requested, and of reporting that call's outcome back to you.
We apply the following limits:
- Minimization. We accept and process only the fields reasonably necessary for that call.
- No storage beyond the call. We do not retain load or broker information other than as part of the record of a call that was placed or attempted. Information submitted for a call that is cancelled or never placed is not kept as a separate dataset and is deleted from operational storage.
- No secondary use. We do not use the information for market analysis, benchmarking, product development, statistics, aggregation, resale, or any purpose other than performing the call workflow, providing support, meeting legal obligations, and securing the platform.
- No general database. We do not build or maintain a standing load database, load index, rate history, or broker directory out of customer submissions.
- Deletion. You may delete call records and your workspace data, or request deletion of your account, at any time. Absent a legal obligation to retain, we delete accordingly.
7. Artificial Intelligence: Runtime Use Only, No Training
AI Dispatcher uses artificial intelligence, including third-party large language models and voice models, to conduct calls and to read documents you submit. This use is strictly runtime inference: the information is supplied as input to complete the task you requested, and then it is not used further.
We expressly commit that we do not:
- train, fine-tune, pre-train, distill, align, or otherwise improve any artificial intelligence or machine learning model on load data, broker data, call audio, call transcripts, or call outcomes obtained through the Services;
- build, derive, or maintain machine learning models, embeddings indexes, training datasets, evaluation datasets, or benchmarks from such data;
- transfer or disclose to any third party any model trained or improved with such data; or
- permit our AI subprocessors to use such data to train or improve their own models. We contract with providers on terms that exclude training on customer data.
AI-generated output, including anything said or captured during a call, may contain inaccuracies or omissions. You are solely responsible for reviewing and verifying AI-generated output before relying on it for business, operational, financial, or legal decisions. AI Dispatcher does not guarantee the accuracy, completeness, or suitability of AI-generated content.
8. Calls, Identification, and Consent
The AI voice agent acts as your disclosed agent. It identifies itself as an AI assistant calling on behalf of your company, and it does not impersonate AI Dispatcher, any load board or platform, any other user of any platform, or any other person or organization, and it does not misrepresent its role in a transaction.
You are responsible for the content of the calls you initiate, for the accuracy of the information and scripts you supply, for the authority you grant the AI agent, and for compliance with all laws applicable to outbound calling, AI-assisted communication, call recording, and consent, including the TCPA and applicable federal and state one-party or two-party consent rules in the jurisdictions of the calling and called parties. You must not use the Services to call any number you are not lawfully entitled to call.
9. Acceptable Use
You agree to use the Services only for lawful purposes and in compliance with all applicable laws and regulations.
You agree not to:
- Use the Services for illegal, fraudulent, or deceptive activities.
- Use the Services, directly or indirectly, to scrape, crawl, harvest, or bulk-extract data from any third-party platform, or to circumvent any platform's usage limits, rate limits, monitoring, or technical controls.
- Submit to the Services data that you obtained by automated means from a third-party platform without that platform's prior written approval.
- Use the Services, or any data processed through them, to build, operate, or support a load board, freight marketplace, load aggregator, freight matching service, rate index, or other product competing with any data source you draw from.
- Use the Services, or any data processed through them, to train or improve any artificial intelligence or machine learning model.
- Resell, republish, redistribute, or otherwise disclose to third parties any data obtained from a load board or other third-party platform.
- Share your account, or a third-party platform login, with other individuals.
- Upload malware, viruses, or other harmful code.
- Attempt to gain unauthorized access to our systems or other user accounts.
- Reverse engineer, copy, or attempt to extract the source code of the Services except where permitted by law.
- Interfere with the operation or security of the Services.
- Use automated systems to overload or abuse the platform.
- Use the Services in violation of any applicable privacy, intellectual property, or export control laws.
We may suspend or terminate access to the Services, in whole or in part, immediately and without refund, if we reasonably believe you have breached this Section 9 or Section 5.
10. User Content and Data Rights
You retain ownership of all documents, data, files, prompts, messages, and other content that you upload or submit to AI Dispatcher ("User Content"), to the extent you own it. We claim no ownership of, and assert no rights in, load, rate, broker, or carrier information originating from any third-party platform; as between you and that platform, such information remains subject to that platform's terms.
You grant AI Dispatcher a limited, non-exclusive, royalty-free, non-transferable license to host, transmit, and process User Content solely to (a) perform the call workflow you requested, (b) return its results to you, (c) provide support at your request, (d) secure the platform and prevent abuse, and (e) comply with law. This license does not include any right to aggregate User Content across customers, to create derivative datasets or products, to train or improve models, or to disclose User Content to third parties except to subprocessors acting under contract for the purposes above. The license terminates when the corresponding User Content is deleted.
You represent and warrant that you have all necessary rights, authority, and permissions to submit User Content to the Services and to have it processed as described, without violating any third-party terms or agreements, including terms applicable to load boards, dispatch platforms, or other sources from which the information was obtained.
11. Intellectual Property
Except for User Content, all software, designs, trademarks, logos, documentation, interfaces, databases, and other materials included in the Services are owned by AIDispatcher LLC or its licensors and are protected by intellectual property laws.
These Terms do not grant you ownership of the Services or any intellectual property rights except for the limited right to use the Services in accordance with these Terms.
We claim no affiliation with, endorsement by, or sponsorship by any load board, dispatch platform, or transportation management system. Any third-party names or marks that appear in the Services are used only for identification and remain the property of their respective owners.
12. Subscriptions
Billing and Renewal
Certain features of the Services require a paid subscription. Unless canceled, your subscription will automatically renew at the end of each billing period, and you authorize us to charge your selected payment method for all applicable recurring fees.
Free Trial
We may offer a free trial or free usage limits for certain plans. At the end of the trial period, you may continue using the free plan or upgrade to a paid subscription. We reserve the right to modify or discontinue any free trial at any time.
Cancellation
You may cancel your subscription at any time through your account settings. Cancellation becomes effective at the end of your current billing period. Fees already paid are non-refundable except where required by applicable law.
Pricing Changes
We may modify subscription pricing from time to time. Any pricing changes will apply to future billing periods, and we will provide reasonable notice before such changes take effect.
13. Service Availability and Third-Party Integrations
We strive to keep the Services available at all times but do not guarantee uninterrupted or error-free operation. The Services may occasionally be unavailable due to maintenance, updates, network failures, third-party outages, or events beyond our reasonable control.
Because AI Dispatcher integrates with third-party providers, including telecommunications and SIP providers, transportation management systems (TMS), and AI service providers, we are not responsible for interruptions or failures caused by such third parties.
AI Dispatcher is not responsible for the accuracy, availability, or restrictions imposed by third-party load boards, dispatch platforms, or carrier databases from which you obtain load information, nor for any change to their terms, limits, or access rules. Any such platform may change or restrict what you are permitted to do, and that may reduce or disable functionality of the Services for you.
14. Warranty Disclaimer
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIDISPATCHER LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND RELIABILITY.
WE MAKE NO REPRESENTATION OR WARRANTY THAT YOUR USE OF THE SERVICES IS PERMITTED UNDER, OR COMPLIES WITH, THE TERMS OF ANY LOAD BOARD, DISPATCH PLATFORM, OR OTHER THIRD-PARTY AGREEMENT TO WHICH YOU ARE A PARTY. DETERMINING THAT IS YOUR RESPONSIBILITY.
We do not guarantee that AI-generated responses, call outcomes, load information, pricing, broker communications, or other outputs generated by the Services will always be accurate, complete, or suitable for your business decisions. You remain solely responsible for verifying important information before relying upon it.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIDISPATCHER LLC, ITS OFFICERS, EMPLOYEES, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST BUSINESS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.
WITHOUT LIMITING THE FOREGOING, WE ARE NOT LIABLE FOR ANY SUSPENSION, TERMINATION, PENALTY, AUDIT, CLAIM, OR LOSS ARISING FROM A THIRD-PARTY PLATFORM'S DETERMINATION THAT YOUR USE OF THAT PLATFORM, OR OF DATA OBTAINED FROM IT, BREACHED YOUR AGREEMENT WITH THAT PLATFORM.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO AIDISPATCHER LLC DURING THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
16. Indemnification
You agree to defend, indemnify, and hold harmless AIDispatcher LLC, its affiliates, officers, employees, contractors, and licensors from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
- Your use of the Services;
- Your violation of these Terms;
- Your violation of applicable laws or regulations;
- Any content, information, or data you provide through the Services, including your lack of rights or authorizations to provide it;
- Your breach of any agreement, acceptable use policy, or usage limit of any load board, dispatch platform, or other third-party data source;
- Any call placed at your direction through the Services, including claims relating to consent, recording, telemarketing, or the content of the call;
- Any freight transaction, carrier selection, or carrier qualification decision you make; or
- Your infringement of any third-party rights, including intellectual property rights.
17. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you through the Services or by email. Your continued use of the Services after the changes take effect constitutes acceptance of the revised Terms.
18. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
Any dispute arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the state or federal courts located in the State of Delaware, unless otherwise required by applicable law.
